CMS Energy names chief compliance officer

DEARBORN, Mich., March 7, 2003 — CMS Energy announced that it has appointed a chief compliance officer and updated its employee compliance and ethics guidelines.

CMS Energy’s and Consumers Energy’s Boards of Directors appointed Michael D. VanHemert to the new position and unanimously approved the revised guidelines, which include a new channel of two-way communication for employees.

VanHemert said the previous guidelines were updated to reflect recent corporate governance initiatives by the federal government and the New York Stock Exchange.

In his new role, VanHemert will be available for employees with questions or concerns about potential conflicts of interest or ethical behavior. He’ll also be responsible for compliance with all applicable laws and regulations.

VanHemert also serves as vice president and corporate secretary for CMS Energy, Consumers Energy, and CMS Enterprises, the Company’s diversified energy business unit. VanHemert, of Northville, is also deputy general counsel for CMS Energy.

VanHemert will report to the board on compliance matters through the Environmental and Corporate Responsibility Committee.

Ken Whipple, CMS Energy’s chairman and chief executive officer, said: “Mike VanHemert is a natural fit for the chief compliance officer role. He has more than two decades of high-level legal experience and a clear understanding of the needs of the Company and its employees in this crucial area.”

CMS Energy Corporation is an integrated energy company, which has as its primary business operations an electric and natural gas utility, natural gas pipeline systems, and independent power generation.
