CNG gains approval to purchase distribution system

LITTLETON, Colo., Jan. 5, 2005 — CNG Holdings, a privately owned natural gas distribution company, located in Littleton, Colorado, received approval from the Missouri Public Service Commission to purchase the municipal natural gas distribution systems serving Gallatin, Hamilton and Coffey, Missouri. The sale will be completed on December 30, 2004. The systems will be operated under the name of Missouri Gas Utility, Inc and will be located in Gallatin Missouri.

CNG Holdings currently owns Colorado Natural Gas, a natural gas distribution company, serving 7,000 customers located along the front rage mountain communities west of Denver and Colorado Springs, Colorado. CNG completed a $6,000,000 expansion, in November which will serve 2,000 customers. In January, 2005 CNG will release $12,000,000 in construction contracts which will serve an additional 4,000 customers.

CNG Holdings will sell $11,000,000 of additional equity in the first quarter of 2005.
