MidAmerican clears Hart-Scott-Rodino review in PacifiCorp acquisition


DES MOINES, Iowa, Aug. 24 — On Aug. 22, 2005, the waiting period under the Hart-Scott-Rodino Antitrust Improvement Act of 1976 expired in connection with the acquisition of PacifiCorp from Scottish Power plc by MidAmerican Energy Holdings Company. Accordingly, the parties are free to close the transaction from the perspective of the Hart-Scott-Rodino Act.

On July 22, 2005, ScottishPower obtained shareholder approval of the sale. The transaction is still subject to clearance by the California Public Utilities Commission, Idaho Public Utilities Commission, Oregon Public Utility Commission, Utah Public Service Commission, Washington Utilities and Transportation Commission, Wyoming Public Service Commission, Nuclear Regulatory Commission and Federal Energy Regulatory Commission. The company anticipates closing the transaction in the first quarter of 2006.
