NRG Energy receives NRC approval to acquire Texas Genco

Princeton, NJ, & Houston, TX, Jan. 16, 2006 — NRG Energy Inc. and Texas Genco LLC announced that they have received the required approval from the Nuclear Regulatory Commission (NRC) to transfer indirect ownership of the 44 percent interest in the South Texas Project Electric Generation Station.

As a result of receiving this final required regulatory approval, both companies anticipate closing the transaction during the week of January 30, 2006.

This approval follows the November 10, 2005, Federal Trade Commission’s early termination of the antitrust waiting period under the Hart-Scott-Rodino Act and the December 28, 2005 approval from the Federal Energy Regulatory Commission (FERC).
