UGI affiliate acquires PG Energy from Southern Union Co.

Valley Forge, PA, Aug. 25, 2006 — UGI Corp., announced that UGI Utilities Inc., its Pennsylvania natural gas and electric utility, has acquired the natural gas utility assets of PG Energy from Southern Union Co., for approximately $580 million.

The addition of PG Energy, now known as UGI Penn Natural Gas Inc., will add approximately 158,000 customers to UGI’s current utility operations in Pennsylvania. UGI Penn Natural Gas serves customers in 13 counties in northeastern and central Pennsylvania.

Morgan Lewis & Bockius LLP provided legal services to UGI in connection with the acquisition.
