Analytical Surveys announces appointment of new directors

INDIANAPOLIS, May 6, 2002 — Analytical Surveys Inc. (ASI) announced the election of four new members to the Company’s Board of Directors.

The appointment of three of the four directors on Friday is in compliance with the terms and conditions of the Note and Warrant Purchase Agreement signed with Cannell Capital, LLC announced by ASI on April 3, 2002.

J. Livingston Kosberg joins the Board as Director and has been elected the Chairman of the Board. Kosberg has a wide range of business experience in addition to more than forty years of business management activities. Kosberg has founded and successfully grown four enterprises during his career. His most recent founding enterprise is U. S. Physical Therapy where he held the positions of Chairman, Director, President and CEO. Kosberg retired as Chairman of the Company in May 2001.

Christopher D. (Kit) Illick, currently President of iQ Venture Partners, a New York-based boutique venture capital firm, has also been elected. Illick has more than thirty years of investment banking experience including the role of founding president of the U. S. office for the U.K.-based investment bank Robert Fleming and Associates.

John J. Sciuto has been elected and is currently President and CEO of Intellisphere Technologies, Inc., a provider of hyperspectral imagery to government and industry from satellite-based platforms. Sciuto is formerly President and CEO of Comptek Research, Inc. Comptek was sold to Northrup Grumman Corporation in 2001. Comptek provides IT systems primarily to the defense sector.

Also joining the Board is J. Norman Rokosh, who has been President and CEO of Analytical Surveys since July 2000. Commenting on the new Board appointments, Rokosh said, “I am delighted with the caliber and expertise of ASI’s new Board members. I think that each new member brings with them a depth of successful business experience and hands-on operational background that will assist ASI as we focus on future growth. On behalf of ASI management and continuing Board members, I would like to thank the outgoing members of the Board, including Richard P. MacLeod, Dr. Robert H. Keeley, Dr. James T. Rothe and ASI founder John A. Thorpe for their many years of service to ASI.”

The effective date for the change in Board membership is May 1, 2002, with the exception of Dr. Rothe, whose resignation was effective April 13, 2002. Rokosh also stated that Sol C. Miller will remain on the Board of Directors of ASI and will join the four new Board members in guiding the company to future success.
